Terms of Service

1) Contract & Acceptance

These Terms of Service (“Terms”) are a binding agreement between Dreampark Labs LLC (“Dreampark,” “we,” “us”) and you (“you,” “User”). By creating an account, installing a browser extension, or using any site, app, API, or service we provide (collectively, the “Services”), you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services. The Services are not intended for children under 13, and some regions may require 16+. If you are under the minimum age, you may use the Services only with verifiable parental consent or as permitted by law.

2) Services Overview

The Services include: (a) Northstar (student productivity/academic management), (b) AI-assisted tutoring tools, (c) learning analytics, (d) custom AI/engineering services, (e) marketing websites and landing pages, and (f) optional browser extensions that help you organize information you can lawfully access. Features may vary by plan, region, or platform.

3) Accounts & Eligibility

You must provide accurate information, keep credentials secure, and promptly update changes. You are responsible for all activity under your account. We may suspend or terminate your account for violations, risk to users or our systems, nonpayment, or legal risk. One account per person unless expressly permitted.

4) Permitted Use & Academic Integrity

Use the Services only for lawful purposes and in accordance with institutional rules and applicable academic integrity policies. You must not: (i) infringe IP or privacy rights; (ii) upload malware; (iii) circumvent security; (iv) rate-limit dodge or scrape outside product-provided interfaces; (v) bulk or automated access beyond documented API/extension functionality; (vi) engage in harassment, fraud, or illegal conduct; or (vii) use AI outputs to engage in or facilitate academic dishonesty.

5) LMS Integrations & Institutions (e.g., D2L Brightspace)

Where enabled, integrations may use OAuth/SSO, institution-approved APIs, or user-initiated tools (including our extension) to organize content you can legally access under your school’s terms. You are responsible for obtaining any necessary institutional permissions. We are not a party to your relationship with your institution and do not guarantee institutional approval or compliance.

6) User Content & License

You retain ownership of content you upload or transmit (“User Content”). You grant Dreampark a worldwide, non-exclusive, royalty-free license to host, reproduce, process, and display User Content solely to provide, secure, maintain, and improve the Services (including quality, reliability, and safety). If you enable features to improve models, we may use de-identified data to develop and improve AI systems; you can opt out where provided. You represent you have all rights necessary to grant this license and that your User Content complies with law and third-party terms.

7) AI Features & Limitations

AI outputs can be probabilistic and may be inaccurate or incomplete. You are responsible for verifying outputs before relying on them, including for academic or professional use. We disclaim responsibility for decisions made or actions taken based on AI outputs. Do not input confidential information you are not authorized to share.

8) Dreampark IP; Feedback

The Services, software, models, logos, and content (excluding User Content) are owned by Dreampark or its licensors and are protected by IP laws. Except for rights expressly granted, no licenses are implied. You will not reverse engineer, decompile, or create derivative works except to the extent such restriction is prohibited by law. You grant us a perpetual, irrevocable, royalty-free license to use suggestions or feedback to improve the Services.

9) Third-Party Services

Some features rely on third parties (e.g., hosting, analytics, authentication, payment processors, or LMS providers). Your use of third-party services may be subject to their terms and privacy policies. We are not responsible for third-party content, outages, or terms.

10) Plans, Billing & Taxes

We may offer free and paid plans with different usage limits. Fees are billed by our payment processor on a recurring basis unless otherwise stated. You authorize recurring charges until you cancel. Taxes may apply. Except as required by law or our posted refund policy, fees are nonrefundable. We may change prices or features with reasonable notice; continued use after changes constitutes acceptance.

11) Availability; Changes; Beta

We strive for high availability but do not guarantee uninterrupted operation. Maintenance, updates, or force majeure may affect access. We may modify or discontinue features. Beta or experimental features are provided “as is,” may be unstable, and may be withdrawn at any time.

12) Security

We use reasonable technical and organizational measures designed to protect the Services and your data; however, no method is 100% secure. Report suspected vulnerabilities to us promptly.

13) Privacy

Our Privacy Policy explains how we collect, use, and share information and describes your choices, including marketing preferences and regional rights (e.g., GDPR/CCPA). By using the Services, you consent to those practices.

14) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER DREAMPARK NOR ITS SUPPLIERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO DREAMPARK FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF YOU USED FREE SERVICES). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME RIGHTS MAY NOT APPLY.

16) Indemnification

You will defend, indemnify, and hold harmless Dreampark and its affiliates, officers, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your User Content, your use of the Services, or your violation of these Terms or applicable law.

17) Governing Law; Dispute Resolution; Class Waiver

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. Any dispute will be resolved by binding arbitration administered by JAMS under its rules, on an individual basis; class actions and class arbitrations are waived. You may opt out of arbitration within 30 days of first acceptance by emailing us written notice. If you opt out, you agree to the exclusive jurisdiction of state and federal courts in Illinois and waive objections to venue and personal jurisdiction.

18) Export & Sanctions

You may not use the Services if you are subject to U.S. sanctions or are in a country embargoed by the U.S. You will comply with export and sanctions laws.

19) Changes to Terms

We may update these Terms by posting a new version. Material changes will be notified via email or in-app notice. Continued use after changes become effective constitutes acceptance.

20) Severability; Assignment; Entire Agreement

If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. These Terms, plus policies referenced herein, are the entire agreement and supersede prior agreements on the same subject.
